1. Acceptance of Terms

By accessing our website or engaging Aurograil LLC ("we," "us," or "our") for services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services. These terms apply to all clients, visitors, and anyone who accesses or uses our services.

2. Services Description

Aurograil LLC provides AI consulting services to businesses, including but not limited to:

• AI strategy consulting and readiness assessments.
• Custom AI agent development and deployment.
• Workflow automation and process optimization using AI.
• AI training and education for teams.
• Ongoing support and optimization of deployed AI solutions.

The specific scope of work for each engagement is defined in a written project agreement before any work begins.

3. Digital Products & Courses

The following terms apply to all digital product purchases, including online courses and course bundles:

• Digital delivery. All courses are delivered digitally via our online platform. No physical goods are shipped.
• Instant access. You receive immediate access to all course materials upon successful payment.
• Lifetime access. Your enrollment includes lifetime access to the course content, including all future updates we make to the material.
• Personal use license. Course content is licensed for your personal use only. You may not redistribute, resell, share access credentials, or reproduce course materials without written permission from Aurograil LLC.
• 30-day money-back guarantee. If you are unsatisfied with a course, you may request a full refund within 30 days of purchase by emailing hello@aurograil.com. No questions asked.
• Non-transferable. Course access is tied to your account and cannot be transferred to another person.
• Payment processing. All course payments are processed securely through Stripe. We do not store your credit card information on our servers.

4. Engagement Terms

All engagements with Aurograil LLC follow these guidelines:

• Projects are fixed-price, with the total cost and scope clearly defined in writing before work begins.
• A detailed project scope document will outline deliverables, timelines, and expectations for both parties.
• Any changes to the agreed scope ("scope creep") may result in additional charges, which will be discussed and approved before proceeding.
• We require timely feedback and access to necessary resources from your team to deliver on schedule.

5. Payment Terms

Payment for services is handled as follows:

• All invoices are issued through Square and can be paid via credit card, debit card, or ACH transfer.
• Standard projects use a 50/50 payment structure: 50% due upon project kickoff, 50% due upon delivery.
• Larger projects may be structured with a 3-payment plan: deposit at kickoff, midpoint milestone payment, and final payment upon delivery.
• Invoices are due within 14 days of issue unless otherwise agreed in writing.
• Late payments may result in paused work until the balance is resolved.

6. Intellectual Property

Intellectual property rights are assigned as follows:

• Client ownership. Upon full payment, the client owns all custom deliverables created specifically for their project, including custom AI agents, workflows, and configurations.
• Aurograil retained rights. We retain ownership of our proprietary tools, frameworks, methodologies, and any pre-existing intellectual property used in delivering the project. These may be reused across other client engagements.
• Third-party tools. Any third-party software, APIs, or platforms used in your project are subject to their own licensing terms.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, financial data, customer information, and technical details. Confidentiality obligations survive the termination of any engagement. If a formal Non-Disclosure Agreement (NDA) is required, we are happy to execute one before work begins.

8. Limitation of Liability

To the maximum extent permitted by law, Aurograil LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability for any claim arising from an engagement shall not exceed the total amount paid by the client for that specific project. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.

9. Warranties and Disclaimers

• All projects include a 60-day optimization period after delivery, during which we will address bugs, performance issues, and minor adjustments at no additional cost.
• Each project includes up to 2 rounds of revisions within the agreed scope. Additional revision rounds may incur extra charges.
• We do not guarantee specific business outcomes, revenue increases, or performance metrics. AI solutions are tools that depend on many factors including data quality, team adoption, and market conditions.
• Our services are provided "as is" without warranties of any kind, express or implied, except as specifically stated in the project agreement.

10. Termination

Either party may terminate an engagement under the following conditions:

• Either party may terminate with 30 days written notice via email.
• Upon termination, the client is responsible for payment for all work completed up to the termination date.
• All completed deliverables will be transferred to the client upon payment. Work in progress will be delivered in its current state.
• We reserve the right to terminate immediately if payment obligations are not met or if the engagement involves unethical or illegal activities.

11. Marketing Communications

By subscribing to our mailing list, you consent to receive periodic emails including product updates, AI industry news, and company announcements. You may unsubscribe at any time using the link provided in each email. We will never sell or share your email address with third parties for their marketing purposes.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the courts located in San Bernardino County, California.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. When we make changes, we will update the "Last updated" date at the top of this page. Continued use of our website or services after any changes constitutes acceptance of the revised terms. For active engagements, changes to terms will not affect existing project agreements unless both parties agree in writing.
